Harmful Technical Activities:

8.1 Scope of Liability Limitations

  • Third-Party Actions: Acts or omissions of Third-Party Authorities, educational institutions, embassies, consulates, or government agencies
  • Changes in Law or Policy: Changes in immigration laws, visa policies, fee structures, processing times, or eligibility requirements
  • Technical Issues: Website downtime, data loss, transmission errors, or technical malfunctions
  • Unauthorized Access: Hacking, data breaches, or unauthorized access to your account despite our reasonable security measures
  • Third-Party Content: Content, actions, or omissions of third-party service providers or partners
  • Reliance on Information: Any damages arising from your reliance on information provided through our Services

8.2 Liability Cap

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, Ekayan’s total aggregate liability to you for any claims arising out of or related to these Terms or the Services shall not exceed the GREATER of:

  • The total amount you paid to Ekayan in the three (3) months immediately preceding the event giving rise to the liability, OR
  • ₹25,000 (Twenty-Five Thousand Indian Rupees)

  • Ekayan would not be able to provide Services on an economically reasonable basis without these limitations
  • These limitations will apply even if Ekayan has been advised of the possibility of such damages
  • These limitations apply to the fullest extent permitted by applicable law

9. Indemnification

9.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Ekayan Consultancy Private Limited, its parent, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, and service providers (collectively, “Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees and legal costs) arising out of or related to:

  • Your breach of any representations, warranties, or covenants made in these Terms
  • Any claim that your User Content infringes or violates any third-party intellectual property rights
  • Your violation of any privacy, data protection, or consumer protection laws

This indemnification obligation will survive termination of these Terms and your use of the Services.

10. Confidentiality and Data Protection

Both parties acknowledge that during the course of the service relationship, they may have access to Confidential Information of the other party. Each party agrees to:

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Specific statutes that may apply include:

11.2 Three-Step Dispute Resolution Process

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services (“Dispute”), the parties agree to follow this structured resolution process:

Step 1: Informal Negotiation (14 Days)

Before initiating any formal proceedings, you agree to first attempt to resolve the Dispute through good-faith informal negotiations. You must send a detailed written notice of the Dispute to Ekayan at [email protected] describing the nature of the Dispute and the desired resolution. Ekayan will respond within 7 business days, and both parties will negotiate in good faith for 14 calendar days from the date of the initial notice.

Step 2: Mediation (Optional but Encouraged)

If informal negotiations fail to resolve the Dispute within 14 days, either party may refer the matter to mediation under the Mediation Act, 2023. The parties will jointly select a mediator registered under the Act. Mediation proceedings will be conducted in Bhavnagar, Gujarat, or online if mutually agreed. The costs of mediation will be shared equally unless otherwise agreed.

Step 3: Binding Arbitration

If mediation does not result in resolution within 30 days, or if either party chooses not to pursue mediation, any unresolved Dispute shall be finally resolved by binding arbitration conducted in accordance with the Arbitration and Conciliation Act, 1996. Key arbitration terms:

  • Seat and Venue: Arbitration will be seated in Bhavnagar, Gujarat, India
  • Language: Proceedings will be conducted in English or Hindi as mutually agreed
  • Arbitrator: Single arbitrator appointed by mutual agreement, or failing agreement, appointed by the Bhavnagar District Court
  • Arbitration Rules: Arbitration shall be governed by the Arbitration and Conciliation Act, 1996 as amended
  • Award: The arbitrator’s decision will be final and binding, and judgment may be entered in any court of competent jurisdiction
  • Costs: The prevailing party may be entitled to recover reasonable arbitration costs and attorneys’ fees at the discretion of the arbitrator

11.3 Consumer Protection Rights Preserved

IMPORTANT: Nothing in these Terms shall be construed to waive, limit, or restrict your statutory rights as a consumer under the Consumer Protection Act, 2019. If you qualify as a “consumer” under the Act, you retain the right to file complaints with:

  • District Consumer Disputes Redressal Commission
  • State Consumer Disputes Redressal Commission
  • National Consumer Disputes Redressal Commission

The arbitration provision above does not prevent you from exercising your consumer forum rights if applicable. You may choose between arbitration and consumer forum proceedings at your discretion.

11.4 Jurisdiction

Subject to the arbitration provisions above and consumer protection rights, the courts of Bhavnagar, Gujarat, India shall have exclusive jurisdiction over any legal proceedings arising from these Terms or the Services.

11.5 Class Action Waiver

To the extent permitted by law, you agree that any Dispute resolution proceedings, whether in arbitration or court, will be conducted only on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Termination of Services

12.1 Termination by You

You may terminate your relationship with Ekayan at any time by:

  • Ceasing all use of the Services
  • Closing your account (if applicable)
  • Sending written notice to [email protected]

Termination by you does not automatically entitle you to a refund. Refund eligibility will be determined in accordance with our Refund and Cancellation Policy.

12.2 Termination by Ekayan

Ekayan reserves the right to suspend or terminate your access to the Services immediately, with or without notice, for any reason, including but not limited to:

  • Failures of internet service providers, telecommunications, or utility services
  • Cyberattacks, data breaches, or security incidents beyond our reasonable control
  • Acts of God or any other events beyond the reasonable control of Ekayan

14.2 Obligations During Force Majeure

During a Force Majeure Event:

  • Ekayan’s performance obligations will be suspended for the duration of the event
  • Ekayan will make reasonable efforts to notify affected clients and provide updates
  • Ekayan will attempt to resume normal operations as soon as reasonably practicable
  • Neither party will be liable for delays or failures caused by Force Majeure Events
